Sanmirna Therapeutics acquired by Thalia Therapeutics

Amsterdam-based healthtech fund NLC Health Ventures realises exit for an equity consideration as clinical-stage acute myeloid leukaemia therapy company is acquired by London Stock Exchange quoted (AIM segment) Thalia Therapeutics NLC Health Ventures, Europe's leading healthtech venture fund, today announces that Sanmirna Therapeutics Inc - an NLC portfolio company - is being acquired by Thalia Therapeutics plc (AIM: THAT).
THE TRANSACTION
Thalia Therapeutics is acquiring the entire issued share capital of Sanmirna for an initial consideration of £3.75 million in equity, with additional deferred milestone payments in equity and cash of up to £13 million contingent on clinical, regulatory, and commercial milestones being met. NLC Health Ventures is the largest shareholder in Sanmirna and will receive, as part of the transaction, direct equity ownership in a listed biotech company.
ABOUT MIRISTEN
Sanmirna's lead asset is miRisten, a microRNA therapeutic candidate that selectively inhibits miRNA-126 - a gene believed to play a critical oncogenic role in Acute Myeloid Leukaemia (AML). miRisten was originally discovered at City of Hope, one of the world's leading cancer research and treatment centres in Los Angeles, which has exclusively licensed its intellectual property rights to Sanmirna. The ongoing Phase 1 clinical trial (ClinicalTrials.gov: NCT07025564) in patients with relapsed or refractory AML - patients for whom no other treatment options remain - is being conducted at City of Hope and is on track to deliver topline results in the first half of 2027. AML affects more than 22,000 new patients annually in the United States. The global market is currently valued at US$3.9 billion and is projected to grow to US$9.8 billion by 2035.
